These Terms of Use ("Terms") govern your access to and use of the Website and any related services, features, content, or applications offered by goSourcely (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree with these Terms, please do not access or use the Service.
2. Eligibility
By using the Service, you represent and warrant that:

- You have the legal capacity to enter into a binding agreement;

goSourcely provides a product sourcing platform and related services, including: (i) sourcing of products and connection with suppliers; (ii) a lead-generation platform for the wholesale sale of packaging materials; and (iii) consulting services in the field of packaging. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.
4. Account Registration
To access certain features of the Service, you may be required to create an account. You agree to:
- Provide accurate, current, and complete information during registration;
- Maintain and promptly update your account information;
- Keep your login credentials confidential and secure;
- Be responsible for all activities that occur under your account;
- Notify us immediately of any unauthorized use of your account.
We reserve the right to suspend or terminate accounts that contain inaccurate, false, or misleading information.

When using the Service, you agree not to:

The Service may contain links to third-party websites, suppliers, or services that are not owned or controlled by goSourcely. We do not endorse and are not responsible for the content, products, services, or practices of any third party. Your interactions with any third party accessed through the Service are solely between you and that third party, and you engage with them at your own risk.
8. Fees and Payments
Certain features and services offered by goSourcely, including sourcing, lead-generation, and packaging consulting services, are subject to fees that are determined and agreed on an individual basis with each client. Pricing, payment terms, and any applicable refund conditions will be set out in a separate agreement, order confirmation, or offer provided to the client prior to the provision of such services. We reserve the right to change our standard fees at any time, with reasonable prior notice, without affecting agreements already concluded with existing clients.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
goSourcely does not warrant that the Service will be uninterrupted, secure, or error-free, or that any defects will be corrected. We do not guarantee the accuracy, reliability, or completeness of any information provided through the Service, including information about suppliers or third parties.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GOSOURCELY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL GOSOURCELY'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE EXCEED THE AMOUNT YOU PAID TO GOSOURCELY, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.
Nothing in these Terms shall exclude or limit liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited under applicable Polish or EU law.
11. Indemnification
You agree to indemnify, defend, and hold harmless goSourcely and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of a third party.
12. Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data in accordance with the General Data Protection Regulation (GDPR) and applicable Polish law. 13. Termination
We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease. Provisions that by their nature should survive termination (including but not limited to intellectual property provisions, disclaimers, indemnification, and limitations of liability) shall survive.

14. Changes to These Terms
We may revise and update these Terms from time to time at our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Service thereafter. 15. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Republic of Poland, without regard to its conflict of law principles. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of Warsaw, Poland, unless mandatory consumer protection laws applicable in your country of residence provide otherwise.
If you are a consumer residing in the European Union, you may also be entitled to bring proceedings in the courts of your own country of residence, and mandatory provisions of the law of that country may apply for your protection.
16. Dispute Resolution / EU Online Dispute Resolution
The European Commission provides a platform for Online Dispute Resolution (ODR), available at: https://ec.europa.eu/consumers/odr. We are not obligated to participate in dispute resolution proceedings before a consumer arbitration board, but we will inform you if we are willing to do so.
17. Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
18. Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and goSourcely concerning the Service and supersede all prior agreements and understandings.
